Subscriber Agreement

Version 2.0 · Effective 8 October 2026 · AveoSoft Private Limited

In brief
  • BidShakti is software that finds tenders on the portals we cover, checks them against your documents and helps you prepare bids. It is not a bidding agent and promises no result.
  • You authorise automated and AI processing of the documents you upload, only to perform the tasks you request. Your documents never serve another subscriber and never train AI models.
  • Seven days free with all features, no card needed. Paid plans are monthly, prices exclusive of GST, and the plan fee is refundable under the Refund Policy.
  • Your data stays yours. You can export it or ask us to delete it.
  • Our liability is capped at the fees you paid in the previous three months.

This summary is for convenience. The numbered sections below are the binding text.

1. Parties and acceptance

  1. 1.1This Subscriber Agreement ("Agreement") is between AveoSoft Private Limited, CIN U72900GJ2021PTC123833, 616 Sharan Circle Business Hub, Zundal, Ahmedabad, Gujarat 382424 ("AveoSoft", "we"), and the business that subscribes to BidShakti ("Subscriber", "you").
  2. 1.2You accept this Agreement by clicking to accept it in the BidShakti portal. The portal records the date and time, the version accepted and the user who accepted. The person accepting confirms that they are at least 18 and authorised to bind the Subscriber.
  3. 1.3This Agreement takes effect on acceptance and applies together with the Terms of Use, the Privacy Policy and the Refund Policy.

2. Definitions

  1. 2.1"Service" means the BidShakti portal, the mobile app and related support. "Workspace" means the isolated instance of the Service provided to you.
  2. 2.2"Covered Sources" means GeM, CPPP, the State and Union Territory e-procurement portals listed in the Service from time to time, and nProcure.
  3. 2.3"Subscriber Content" means everything you upload or enter, including company details, documents, letterhead, signature images, pricing and records.
  4. 2.4"AI Output" means analyses, verdicts, price bands, checklists and drafted documents generated by the Service.

3. Scope of the Service

  1. 3.1We grant you a non-exclusive, non-transferable right to use the Service for your internal business of finding, assessing and preparing bids for Indian government tenders, for the duration of your subscription.
  2. 3.2The Service collects tender information from the Covered Sources, filters it against your targeting settings, provides AI-assisted analysis and drafting, and stores your records.
  3. 3.3The BidShakti software never submits a bid, and no submission is ever made from BidShakti systems. The software does not pay deposits or fees or represent you before any buyer, and we give no legal, financial, tax or engineering advice.
  4. 3.4Under BidShakti Assist, our team helps you submit your bid on the official procurement portal (GeM or the relevant state portal), using your own portal account and credentials, which you share with us for that purpose. Assist is governed by its own written terms.
  5. 3.5Every decision to bid, the content of every bid and every submission remain yours.

4. Coverage and your targeting settings

  1. 4.1Tender information comes only from the Covered Sources and is collected at intervals. It may be incomplete, delayed or out of date, and changes at source may reach the Service late or not at all. You must verify every tender on the official portal before relying on it.
  2. 4.2The tenders shown depend on the departments, keywords, categories and regions you set. A tender that does not match your settings is not shown, and this is not a defect. Keep your settings current; we can help you set them, but they remain your responsibility.

5. Documents you upload and your consent to processing

  1. 5.1Features such as Go/No-Go, the document vault and the bid pack work only with your real business documents, such as audited accounts, turnover certificates, PAN, GSTIN, Udyam registration, licences, work orders, completion certificates, letterhead and signature images. You upload them knowingly and by choice. If you do not, those features stay unavailable.
  2. 5.2You authorise AveoSoft, and the BidShakti software acting for you, to read, extract text from, index, analyse, copy, reformat and assemble the documents and data you upload, by automated means including artificial intelligence, solely to perform the tasks you request: matching tenders, assessing eligibility, producing analyses and verdicts, drafting and assembling bid documents, and supporting you when you ask.
  3. 5.3This authority is limited to serving you. We will not use your documents to serve or inform any other subscriber, will not use them to train AI models of ours or anyone else's, will not sell or publish them, and will not disclose them except as this Agreement and the Privacy Policy allow or the law requires.
  4. 5.4When you run an AI task, only the tender text and the profile details needed for that task are sent to our AI provider, under terms that forbid training on that data. Your full document store, bank details and signature image are not sent.
  5. 5.5You confirm that you own or are authorised to use everything you upload, that the people who signed or issued it have agreed to its use in this way, that it is genuine and accurate, and that you have a lawful basis for any personal data it contains.
  6. 5.6You may delete any uploaded document at any time. Deleting a document may stop a feature that depends on it.

6. AI Output and generated documents

  1. 6.1AI Output is decision support, not advice. It may be wrong or incomplete. A competent person on your side must review and approve it against the official tender documents before submission. By submitting a document prepared with the Service, you adopt it as your own.
  2. 6.2Generated documents use only your own uploaded letterhead and signature image. Without a signature image, a blank space is left for wet signature. We never create a signature or use another subscriber's branding.
  3. 6.3We accept no responsibility for a bid rejected or lost because AI Output was not verified.

7. Isolation, security and confidentiality

  1. 7.1Your Workspace runs on its own application instance and its own database. Your content is not visible to other subscribers in normal operation.
  2. 7.2Our staff access your Workspace only for provisioning, support, maintenance, security or legal compliance, on a need-to-know basis, and such access is logged.
  3. 7.3Each party will keep the other's confidential information confidential, use it only for this Agreement and share it only with people who need it and are bound by confidentiality. Your Subscriber Content and bid strategy are your confidential information. These duties continue for three years after termination.

8. Your obligations

  1. 8.1Give accurate information and keep it current; keep credentials confidential and give each user their own login; verify tender information and review AI Output before use; comply with procurement, tax and anti-corruption law; and pay fees when due.
  2. 8.2You must not scrape or resell the Service or its data, access another subscriber's Workspace, bypass security or usage limits, use the Service to build a competing product, or use it to prepare false documents or to collude in any bid. Breach of this clause allows immediate suspension.

9. Ownership

  1. 9.1You own your Subscriber Content. You grant us a limited licence to host and process it only to provide, secure and support the Service for you and to comply with law.
  2. 9.2We own the Service, its software, design, prompts and templates, and the BidShakti name and marks.
  3. 9.3You may use AI Output generated in your Workspace for your own bids. Because it is generated from public tenders, similar output may be produced for other subscribers looking at the same tender.

10. Trial, fees and payment

  1. 10.1New subscribers receive a 7-day free trial with all features. No payment card is needed, and the trial does not convert to a paid plan automatically. At the end of a trial without a plan, the Workspace is paused and nothing is deleted.
  2. 10.2Fees are the plan prices shown on the website or in the BidShakti portal when you subscribe, or as agreed with you in writing. Plans are billed monthly in advance.
  3. 10.3Fees are exclusive of GST, charged at the applicable rate on a tax invoice. Give us your correct GSTIN, legal name and place of supply. Where you deduct TDS, provide the certificate within the statutory period.
  4. 10.4Payments are collected through Cashfree Payments. If you set up a recurring payment mandate, the plan renews each month until you cancel it. You can cancel at any time and the plan then ends at the close of the paid month.
  5. 10.5If a payment fails and is not made good within 7 days of our email reminder, we may pause the Workspace until it is paid. Pausing does not delete your content.
  6. 10.6No fee depends on winning any tender. We charge no success fee or commission.

11. Refunds

  1. 11.1You may ask for a full refund of the plan fee for your current billing period at any time, by email to contact@bidshakti.com and without giving a reason. The guarantee applies once per subscriber and does not cover BidShakti Assist or other bespoke services.
  2. 11.2GST and payment processing charges are not refundable. We pay the refund within 14 days of your request, to the original payment method through Cashfree, as set out in the Refund Policy. On refund the subscription ends and portal access is paused, and your data remains available for export.
  3. 11.3Apart from the Refund Policy and any refund the law requires, fees for a month already paid are not refunded when you stop using the Service.

12. Term, termination, export and deletion

  1. 12.1This Agreement continues month to month while your plan is active.
  2. 12.2You may end it at any time by cancelling your plan or writing to contact@bidshakti.com. Either party may terminate for a material breach not fixed within 30 days of written notice, or at once if the other becomes insolvent. We may terminate at once for a serious breach of Section 8.
  3. 12.3For 60 days after your subscription ends, we will provide on request one free export of your Subscriber Content in a common format, such as CSV with your uploaded files. After that period we may delete it.
  4. 12.4If you ask us to delete your account, we do so within 30 days as set out on the Account Deletion page. Billing and tax records are kept for the period the law requires.

13. Disclaimers and liability

  1. 13.1The Service, tender information and AI Output are provided "as is". To the extent the law allows, we give no warranty that the Service lists every relevant tender, that information is accurate or current, that AI Output is correct, or that the Service is uninterrupted.
  2. 13.2We are not liable for indirect or consequential loss; loss of profit, contract or opportunity; any tender missed or shown late; any bid rejected, disqualified or lost; or any forfeited deposit or security.
  3. 13.3Our total liability for all claims together is limited to the fees you paid in the three months before the event giving rise to the first claim, or INR 1,000 where nothing was paid. This is the same single cap as in the Terms of Use. Claims must be brought within twelve months.
  4. 13.4These limits do not apply to fraud, wilful misconduct, your payment obligations, your indemnity or a breach of confidentiality.

14. Indemnity

  1. 14.1You will indemnify AveoSoft against claims, penalties, losses and reasonable legal costs arising from your breach of this Agreement, false or infringing material you upload or submit, any bid you submit and any dispute arising from it, or personal data you uploaded without a lawful basis.

15. Force majeure

  1. 15.1Neither party is liable for delay caused by events beyond its reasonable control, including outages or restrictions of the Covered Sources, the internet, power or cloud infrastructure, other than payment obligations already due. If such an event lasts more than 60 days, either party may terminate and you will receive a pro rata refund of prepaid fees for the unused period.

16. Changes

  1. 16.1We may update the Service, but will not materially reduce the core features of your plan during a paid month without 30 days' notice.
  2. 16.2We may amend this Agreement with at least 30 days' notice by email. A changed version is accepted in the portal in the same way. If a change materially harms you, you may terminate before it takes effect and receive a pro rata refund of prepaid fees. Price changes apply only from the next billing month after notice.

17. Governing law and general terms

  1. 17.1This Agreement is governed by the laws of India. Disputes are first discussed in good faith for 30 days after written notice, and then fall under the exclusive jurisdiction of the courts at Ahmedabad, Gujarat. Either party may seek urgent interim relief at any time.
  2. 17.2This Agreement, with the documents named in Section 1, is the entire agreement on its subject. Unenforceable provisions are limited to the minimum extent and the rest continues. Neither party may assign without consent, except that we may assign to a successor business on notice. We will not name you as a customer without your written consent.
  3. 17.3Notices to us go to contact@bidshakti.com or our registered office; notices to you go to your registered email or appear in the BidShakti portal. Email notice is received on the next business day unless it bounces.
